Terms of Service

Tejas Industries (Proprietorship Firm) · Proprietor: Mr. Jalindar Eknath Shendge · GSTIN 27BWSPS9801C1Z2 · Survey No 312/1, Puntamba Road, Village Kokamthan, Taluka Kopargaon, District Ahilyanagar, Maharashtra 423601, India

These Terms of Service are a binding electronic contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000, between you and Tejas Industries (Proprietorship, GSTIN 27BWSPS9801C1Z2) operating the brand and platform GoPrintPack™. By creating an account, posting a job, bidding or funding escrow you agree to these Terms, our Privacy Policy, Escrow Policy, Refund & Cancellation Policy, Dispute Resolution Policy, Shipping & Delivery Policy, Acceptable Use & NDA Policy, and Cookie Policy — all incorporated by reference.

1. Nature of the Platform

GoPrintPack™ is an asset-light intermediary technology platform operating a five-sided marketplace. Buyers post sealed print and packaging requirements. Printers / Converters place sealed bids. Design Agencies offer artwork and design services. Material Suppliers (paper, board, inks, films, plates, adhesives) and Finishing Partners (lamination, foiling, embossing, spot UV, die-cutting, binding, window patching) quote on sub-RFQs posted by awarded Printers. Admin personnel of Tejas Industries moderate the Platform.

The Platform is not a printer, courier, bank or payment system operator. We license software, aggregate demand, broker introductions, hold funds in escrow with an RBI-regulated Payment Aggregator, invoice through our Zoho Books integration, and arrange blind-shipped dispatch via Shiprocket B2B.

For production jobs and design engagements, Tejas Industries acts as the Merchant of Record (MoR). It invoices the Buyer directly for the full price and procures from the Printer / Agency on a back-to-back basis (two-tier invoicing). Suppliers price under the Gross Bid rule (§6A). For sub-RFQs between Printers and Material Suppliers / Finishing Partners, Tejas Industries holds the escrow and deducts its commission at release.

The Platform is intended for business-to-business (B2B) transactions. By registering you confirm you are acting in the course of a business, trade or profession and are not a 'consumer' under the Consumer Protection Act, 2019.

2. Eligibility & Account Registration

  1. You must be at least 18, legally competent to contract under Indian law, and duly authorised to bind any entity you register on behalf of.
  2. You must provide accurate name, GSTIN (where applicable), PAN, bank details, address and verified contact details.
  3. You are solely responsible for your login credentials. Notify us immediately of any unauthorised use.
  4. We may refuse, suspend, re-verify or terminate any account at our sole discretion if used in breach of these Terms or applicable law.
  5. Printers, Agencies, Material Suppliers and Finishing Partners must complete KYC + bank onboarding (Razorpay Route or manual payout profile, GSTIN verification, capabilities declaration) before bidding. Submission of KYC does not guarantee onboarding.

3. Role-Based Access & Platform Features

The Platform operates on strict role-based access control (RBAC) enforced by JWT authentication. You must not attempt to access, scrape or infer data belonging to other roles, accounts or jobs. Attempting to de-anonymise suppliers through side channels is strictly prohibited and may be reported under the IT Act, 2000.

4. The Auction & Procurement Workflow

  1. Buyer posts a sealed job (specs, quantity, deadline, optional price floor). Admin price floors, buyer-plan limits, GST/HSN hints and matching rules may apply before publication.
  2. Printer places one sealed Gross Bid per auction: pre-GST, excluding delivery, and inclusive of the GoPrintPack™ commission for the Printer's plan. Bids are weighted (price 50%, performance 30%, quality 20%). Bids below the floor are rejected.
  3. At checkout the Buyer enters the delivery address. The escrow amount is the winning bid + GST (CGST + SGST for Maharashtra buyers, IGST otherwise) + delivery charge (live Shiprocket rate + 10% handling, or a flat ₹500 where the Printer uses its own courier) + 18% GST on delivery.
  4. Buyer may award any valid bid before auction close. Awards are irrevocable once escrow is captured, except via the Dispute Resolution process.
  5. Press-ready artwork is released to the Printer only after escrow capture. Printer logs milestones, meets SLA, dispatches via Shiprocket blind-shipped.
  6. Buyer confirms delivery within 7 days of dispatch. In the absence of confirmation or dispute, escrow auto-releases to the Printer per the Escrow Policy.

5. Design-Services Workflow

Design Agencies accept engagements on Fixed-Price or Bidding basis, governed by a structured brief, mutual NDA, proofing / revision loops, and a copyright-transfer certificate executed on final delivery. Escrow lifecycle mirrors production jobs. Source-file ZIPs are released only on dispute-free settlement or an admin verdict.

5A. Material & Finishing Sub-RFQs

  1. An awarded Printer may post a sealed sub-RFQ for raw materials or outsourced finishing on that job. Only verified partners of the matching type can quote.
  2. Partners quote a Gross price that includes their plan commission. On award, the Printer pays the quote + applicable GST (18% on materials, 5% on finishing job work) into Razorpay escrow.
  3. The partner marks the order dispatched. The Printer confirms receipt, and the escrow is released to the partner as quote + the partner's GST − platform fee − 18% GST on the fee − 1% TDS.
  4. A payment made against a sub-RFQ that is no longer open is not awarded and is refunded to the Printer.

6. Payments, Taxes & Payouts

  1. Currency: INR (₹) only. Bids and quotes are exclusive of GST. GST (and delivery, for physical goods) is added transparently at checkout.
  2. Payment gateway: Razorpay / Razorpay Route. Funds are swept into Razorpay escrow and held under RBI PA/PG Guidelines, 2020. We do not touch, custody or commingle these funds.
  3. Platform commission is charged at the rate of the payee's subscription plan (table in §6A) and is a platform & marketplace support service supplied by Tejas Industries to the supplier. GST @ 18% applies to the platform fee (SAC 998599), billed on a separate tax invoice to the supplier, who may claim it as input tax credit. The supplier invoices GoPrintPack for the full Gross Bid plus the supplier's own GST, and the payout equals that invoice less the platform fee, 18% GST on the fee and 1% TDS u/s 194-O. The same figure appears on the supplier invoice, the settlement sheet, the admin payout queue and the Razorpay Route transfer.
  4. TDS under Section 194-C / 194-O is deducted where applicable; a TDS certificate is issued through Zoho Books in full and final discharge.
  5. Subscription plans are billed in INR, pre-paid and non-refundable except as stated in the Refund & Cancellation Policy.
  6. Payouts are made to the registered bank account via Razorpay Route or manual UTR transfer, net of commission, GST, TDS, and any adjustment arising out of a dispute verdict.

Gross Bid rule (Merchant of Record model). Every bid or quote you submit must be your final, all-inclusive price: production cost + your margin + the GoPrintPack™ commission for your plan. The Buyer sees only that single price (plus GST and, for physical goods, delivery). The Platform never shows a separate platform-fee line to the Buyer. You invoice GoPrintPack™ for the full Gross Bid plus product GST. GoPrintPack™ bills its platform fee + 18% GST to you on a separate tax invoice (SAC 998599), which you can claim as ITC, and recovers it from your payout. Example (Starter, 8%, 12% GST product): bid ₹10,870 → you invoice ₹10,870 + ₹1,304.40 GST = ₹12,174.40 → less platform fee ₹869.60 + ₹156.53 GST → less ₹108.70 TDS u/s 194-O (credited in your Form 26AS) → net payout ₹11,039.57.

Each supplier dashboard shows the applicable rate and a live “you’ll receive” estimate while you bid. Upgrading or downgrading a plan changes the rate for payouts settled after the change.

The Buyer picks the product type when posting a job, and that choice sets the GST rate. Rates follow notifications in force on the invoice date. Where a classification is disputed, the rate on the invoice can be corrected by credit / debit note.

Tejas Industries is a GST-registered entity (GSTIN 27BWSPS9801C1Z2, State 27 — Maharashtra). Place-of-supply, CGST/SGST vs IGST, and HSN/SAC codes are determined automatically by our Zoho Books integration. Each successful transaction may generate up to three documents: a Tax Invoice (Buyer-facing), an E-Way Bill (where thresholds apply) and a Vendor Bill (Printer-facing with TDS deducted). IRN is pushed to GSTN via Zoho Books where mandatory.

8. Intellectual Property

  1. All Platform code, UI, brand marks ('GoPrintPack', 'GoPrintPack.com'), copy, templates and schemas are the exclusive property of Tejas Industries, protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.
  2. Buyer-uploaded artwork remains Buyer property; by uploading you grant us a limited licence to process, display to invited Printers / Agencies, generate proofs, run preflight checks, and transmit to the awarded Printer solely to fulfil the job.
  3. Final delivered agency artwork is transferred to the Buyer on dispute-free settlement under a copyright-transfer certificate executed through the Platform.
  4. You indemnify Tejas Industries against all IP infringement claims arising from material you upload.

8A. User Guides, Tours & Training Material

  1. All user guides, in-app tours, walkthroughs, screenshots, workflows and training material made available on the Platform ("Guides") are confidential, proprietary works of Tejas Industries protected under the Copyright Act, 1957.
  2. Guides are licensed to you on a limited, personal, non-exclusive, non-transferable and revocable basis, solely to use the Platform under your own account and role. Guides are viewable only inside the Platform; no download right is granted.
  3. You must not copy, screenshot, screen-record, download, print, scrape, reproduce, translate, publish, share, sell, sub-license or otherwise distribute any Guide or part of it, or use it to build, train or market a competing service.
  4. Every Guide view is personalised with a visible and an invisible watermark identifying your account, and is logged. Any copy found outside the Platform will be traced to the originating account.
  5. Breach of this clause is a material breach of these Terms. It may lead to immediate suspension or termination of your account, forfeiture of plan fees, recovery of damages and legal costs, and civil or criminal action.

9. Prohibited Conduct

The behaviours prohibited under our Acceptable Use & NDA Policy are incorporated by reference. In particular, do not: circumvent the Platform (off-platform leakage), reverse-engineer, scrape, probe infrastructure, upload malware or unlawful content, collude on bids, de-anonymise suppliers, launder funds, or circumvent exchange-control laws. Breach triggers immediate suspension and may lead to legal and criminal action.

10. Fees, Pricing Changes & Promotions

Subscription prices, platform commission, auction floors, TDS rates and plan limits are published on the Platform and may be revised with 15 days' notice. Continued use after a revision takes effect constitutes acceptance.

Liability cap: in no event shall our aggregate liability — in contract, tort (including negligence), statute or otherwise — exceed the greater of (a) platform commission actually received on the specific transaction giving rise to the claim or (b) ₹10,000, whichever is lower.

In no event will Tejas Industries be liable for indirect, incidental, special, exemplary, punitive or consequential damages. Nothing excludes liability that cannot lawfully be excluded under Indian law (including fraud and gross negligence).

12. Indemnity

You agree to defend, indemnify and hold harmless Tejas Industries, its proprietor, employees, agents, partners and vendors from and against all claims, demands, actions, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms, (b) your violation of applicable law, (c) IP infringement in material you upload, (d) your tax position, or (e) your off-platform conduct with a counter-party discovered through GoPrintPack™.
